Job Description:
Our Client is a large mining company with various operations in Africa. They are looking for an experience Mining Lawyer to join their Legal team in the Northern Cape. The role's specific focus will be commercial legal matters of the mines and some renewables projects etc. The role is based in the Northern Cape.
Duties & Responsibilities
Providing general advice to the Company on a wide variety of legal issues.
Candidate should have a strong commercial law background and have extensive experience in drafting, reviewing and amending a wide variety of commercial contracts such as offtake agreements, purchase and sale agreements, services supply agreements, lease agreements and employment agreements, etc.
Assessing an identifying risks in commercial contracts and advising the company on such risks.
Advising the company on corporate governance related issues including (i) compliance with the Companies Act; (ii) the company’s shareholders agreement and MOI; and (iii) the drafting of various resolutions;
Previous experience in assisting companies manage its compliance function, including reviewing and implementing of various internal governance policies, would be advantageous.
Experience in mining law, including but not limited to the MPRDA, MHSA and the various environmental management acts is preferred but not an essential requirement.
There is less regulatory work in this role and the focus is on Commercial Transactions.
Desired Experience & Qualification
LLB Degree and Admitted Attorney
5+ years Commercial Law experience in a large or reputable law firm or mining house.
