Our client is a prestigious law firm with a footprint in Africa and they are looking for an Associate to join their Banking and Finance team. They have a phenomenal client base and deal flow and offices in various major centers in South Africa and Africa.
As an associate, you will have the opportunity to work with all the Directors and with teams based in other offices and thereby gain diverse experience.
Duties & Responsibilities
Drafting and/or reviewing agreements which include shareholders’ agreements, construction agreements, loan agreements, supply and off-take agreements, sale agreements etc
Drafting and/or reviewing security agreements which include guarantee and indemnity agreements, parent company guarantees, account bank agreements and subordination agreements etc
Addressing regulatory queries from clients in relation to company regulations
Derivatives and Securitisation work.
Cross Border Banking and Finance Transactions.
Drafting amendments and comments to various project documents and finance documents
Drafting various legal opinions on inter alia application of South African law in foreign financing transactions, cancellation of agreements and the consequences thereof and various legislation including but not limited to the Banks Act, Companies Act, and Non Banks Financial Institutions Regulatory Authority Act
Preparing and reviewing due diligence reports in respect of private equity transactions and project finance transactions (both local and cross-border transactions)
Reviewing and providing of advice on company legal policies which include inter alia legal compliance policy, online policies and regulations and company rules
Advising lenders and prepared project finance agreements (long term financing of infrastructure and industrial projects)
Conducting legal research and prepared opinions;
Desired Experience & Qualification
1+ years PQE
Strong academic record and intellectual curiosity, creative thinker
Outstanding communication and negotiation skills
Strong time management skills, ability to stay calm under pressure when juggling multiple projects
Excellent drafting skills
Strong professional presence
Proactive, resourceful, takes initiative
Good understanding of the key risks and issues involved in cross-border transactions
Extensive experience in drafting, negotiation, reviewing and implementing agreements and documentation related to financing transactions
