Our client, a big hotel group, is looking for a Senior Attorney / Lawyer / Legal Officer, who will report to, and assist, the Group Company Secretary and assist with the groups' corporate governance as well as look after the groups' commercial affairs. Duties & Responsibilities
Some of the job requirements will be, but not limited to:
Ensuring compliance with applicable legislation, regulations, codes of best practise including but not limited to legislation relevant to the hospitality industry
Manage and mitigate compliance risk and ensure adherence to legislative
Raising awareness, monitoring, implementing processes and reporting
Support the Group Company Secretary with the implementation and maintenance of the governance function to prevent the company from being exposed to any regulatory or reputational risk
Provide legal counsel across the group
Manage and mitigate risk associated with agreements concluded by the group
Execute the governance and compliance initiatives across the group by managing the legal and compliance business risks
Provide complex specialist compliance advisory services and compliance support to the Group
Productively assist in compliance with all regulatory requirements and minimise the compliance risks identified
Provide advice, assistance and guidance to the group in order that the relevant regulatory (and applicable risk) framework and company compliance related policies are implemented timeously
Advise, assist and guide internal stakeholders to ensure a compliance culture is embedded across the group and in so doing empowering the group to manage regulatory, conduct and reputational risks
Strategic legal advice to the executive committee
Provide legal advice, opinions and guidance which is appropriate, accurate and commercially relevant
Contract management
Review, negotiation and drafting of various legal agreements, opinions and documents
Litigation
Responsibility for managing the Group’s intellectual property portfolio, including but not limited to: briefing and liaising with IP attorneys on new applications, IP related litigation, filing of trademarks and renewals received, and updating IP register
Perform basic company secretarial functions, including but not limited to: maintain accurate and up-to-date statutory registers for holding company and its subsidiaries, including submission of relevant returns, including but not limited to annual returns and financial statements
General meetings (including annual general meeting) – assisting with meeting preparation including the collation and distribution of meeting documentation
Integrated Report: assist with the compilation of the report
Provide input towards the code of ethics or conduct and other relevant policies, as and when necessary
Provide appropriate advice and guidance to the various business units in respect of a variety of matters, including but not limited to guest complaints, which is appropriate, accurate and commercially relevant
Desired Experience & Qualification
You must meet the following requirements:
Matric PLUS B.Com Law, Bachelor of Laws (LLB) or equivalent legal qualification. Further legal qualifications, particularly in areas like tax (local and foreign territories), insurance, contract law, compliance, will be advantageous
Qualified and admitted attorney
At least 5 years post-articles experience in the corporate environment
3 – 5 years contract negotiation and management and compliance related experience in the management, implementation and maintenance of compliance frameworks
Knowledge and experience and experience of off-shore company structures and regulation would be advantageous
